Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and VibeSlate ("VibeSlate", "we", "us"). They govern your access to and use of the VibeSlate website, application and related services (the "Service"). By creating a project, uploading a file, sending a prompt or otherwise using the Service, you accept these Terms. If you do not accept them, do not use the Service.
1. Eligibility
You must be at least 16 years old, or the minimum age of digital consent in your country if it is higher, to use the Service. If you use the Service on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms.
2. Accounts
You may start using the Service without registering; such an anonymous account is tied to the browser you use and may be lost if you clear your browser data, and it may be shared by anyone using the same network or device. Registering with an email address or a Google account links your projects and credits to you. You are responsible for everything that happens under your account and for keeping your email account and credentials secure. Notify us promptly if you believe your account has been used without your permission.
3. Credits and payment
Access to paid features is measured in credits. Credits are a prepaid unit of account for computing work, have no cash value, are not money, are not a deposit, do not earn interest, and cannot be exchanged, transferred, resold or redeemed for cash. Promotional or free credits may be granted, limited, reduced or withdrawn at any time. Unless the mandatory law of your country provides otherwise, purchased credits are non-refundable, including for unused balances. Prices and credit rates may change; changes apply to future purchases only. Payments may be processed by third-party payment providers under their own terms.
4. Your content
You keep all rights you already have in the files, prompts, scenarios and other material you provide ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, transcode, analyse, display and otherwise process Your Content, and to share it with the subprocessors described in our Privacy Policy, solely to operate, secure, support and improve the Service and to produce the results you request.
You represent and warrant that you own or have all rights, licences and permissions needed for Your Content and for our processing of it, including the rights to any music, footage, images, trademarks, voices and personal data it contains, and that Your Content and its use through the Service do not infringe any third-party right or violate any law. You are solely responsible for Your Content.
5. Generated output
The Service uses automated and machine-learning systems, including third-party model providers, to produce transcripts, descriptions, figures, voices, sounds, recordings and edited video ("Output"). Output is generated automatically and may be inaccurate, incomplete, offensive, outdated or unsuitable for your purpose. You are responsible for reviewing, verifying and deciding whether to use Output. Output is not legal, medical, financial or other professional advice.
Similar or identical Output may be generated for other users, and we make no promise that Output is unique or that you can obtain exclusive rights in it. Whether Output is protectable, and by whom, depends on the law of your country; we make no representation about it. As between you and us, and to the extent we hold any rights in Output produced for you, we assign them to you, subject to your compliance with these Terms and with the terms of the underlying model providers.
6. Acceptable use
You must not use the Service to:

upload, generate or distribute material that is unlawful, infringing, defamatory, sexually exploitative of minors, or that promotes violence, harassment or discrimination;

impersonate a person or organisation, or create misleading synthetic media of a real person, including their voice or likeness, without their documented consent;

process personal data, including biometric or voice data, without a lawful basis;

automate browser recording against websites in breach of their terms, their technical restrictions or applicable law, or to capture credentials, paywalled or private content you are not entitled to access;

attempt to breach, probe, overload, disrupt or circumvent the Service, its rate limits, its credit accounting or its security measures;

reverse engineer the Service, or use it to build, train or evaluate a competing model or service, except where such restriction is prohibited by law;

resell, sublicense or provide the Service to third parties as your own service.
We may investigate suspected violations and may remove content or suspend access to protect the Service, our users or third parties.
7. Public links
Exported videos can be published behind a public link. Anyone who has the link can view and share the video without signing in, and it may be cached, copied or indexed by third parties. Do not publish anything you are not willing to make public. Deleting a project or an export does not retrieve copies already made by others.
8. Availability and changes
The Service is provided on an evolving basis. We may add, change, suspend, limit or discontinue any part of it, including features, models, quotas and free tiers, at any time. We may impose usage limits, including on storage, file size, processing time and generation volume. We are not obliged to store Your Content indefinitely and you are responsible for keeping your own backups of anything you value.
9. Third-party services
The Service integrates third-party providers, including model, speech, media, email, sign-in, hosting and payment providers. Their availability, output and terms are outside our control, and we are not responsible for their acts or omissions. Your use of a third-party service through the Service may also be subject to that provider's terms.
10. Intellectual property
The Service, including its software, interface, design and documentation, is owned by us and our licensors and is protected by intellectual-property law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service. No rights are granted other than those expressly stated. Feedback you send us may be used without restriction or compensation.
11. Termination
You may stop using the Service and delete your projects at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if we reasonably suspect unlawful or harmful use, or if required by law or by a provider we depend on. On termination, your right to use the Service ends immediately and we may delete Your Content. Sections 3 to 5 and 10 to 15 survive termination.
12. Disclaimer of warranties
To the maximum extent permitted by law, the Service and all Output are provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory, including any warranty of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment or non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure or error-free, that defects will be corrected, that Output will be accurate or suitable, or that Your Content will not be lost or corrupted.
13. Limitation of liability
To the maximum extent permitted by law, we and our affiliates, officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, data, content or business opportunity, arising out of or related to the Service, whether based on contract, tort, statute or any other theory, and whether or not we were advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability arising out of or related to the Service is limited to the greater of the amounts you actually paid us for the Service in the three months before the event giving rise to the liability, or fifty United States dollars (USD 50).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or for wilful misconduct. If you are a consumer, you keep the mandatory rights granted to you by the law of your country of residence, and these Terms apply only to the extent permitted by that law.
14. Indemnity
You will indemnify and hold us harmless from any claim, demand, loss, liability, cost and expense (including reasonable legal fees) arising out of Your Content, your use of the Service or Output, your breach of these Terms, or your violation of any law or third-party right.
15. General
We may change these Terms. Material changes take effect when the updated Terms are posted with a new "last updated" date, and your continued use of the Service after that date constitutes acceptance. We may transfer these Terms as part of a merger, acquisition or sale of assets; you may not transfer them without our written consent. If a provision is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. These Terms are the entire agreement between us regarding the Service. Any dispute is governed by the law of our place of establishment, without regard to conflict-of-law rules and without depriving a consumer of the protection of the mandatory law of their country of residence.
